These Terms and Conditions (“Terms”) govern the use of the website https://nonwovensbid.com and the services provided through it.

By using the website, submitting a listing, placing a bid, making an inquiry, or otherwise using our services, you agree to these Terms.

 

1. About NONWOVENSBID


NONWOVENSBID is a B2B platform designed to connect buyers and sellers of nonwoven materials and related products.

The platform may publish offers, promote available materials, collect bids or inquiries, introduce potential buyers and sellers, and otherwise facilitate business opportunities between parties.

Any final purchase agreement is concluded directly between the buyer and the seller.


2. Eligibility and Business Use

 

NONWOVENSBID is primarily intended for professional and business users.

By using the platform, you confirm that:

  • you are legally authorised to act on behalf of the company or organisation you represent;
  • the information you provide is accurate and complete;
  • you will use the platform only for legitimate business purposes; and
  • you will comply with all applicable laws and regulations.

We reserve the right to refuse access to the platform or our services at our discretion.

 

3. Listings

 

Sellers may provide information regarding materials or products they wish to advertise through NONWOVENSBID.

The seller is responsible for ensuring that all submitted information is accurate, including, where applicable:

  • product type;
  • material composition;
  • quantity;
  • dimensions;
  • weight or GSM;
  • colour;
  • quality or grade;
  • location;
  • packaging;
  • availability;
  • technical specifications;
  • photographs; and
  • any other relevant product information.

NONWOVENSBID may edit, format, translate, shorten or otherwise adapt listing information for presentation and marketing purposes without materially changing the substance of the offer.

We reserve the right to reject, remove or modify any listing at our discretion.

 

4. Seller Responsibility

 

The seller confirms that it has the legal right and authority to offer and sell the advertised products.

The seller is solely responsible for:

  • the existence and availability of the goods;
  • the accuracy of the listing;
  • product quality and conformity;
  • technical specifications;
  • certificates and documentation;
  • packaging;
  • shipping and delivery;
  • export or import requirements;
  • taxes, customs duties and other charges; and
  • compliance with applicable laws and regulations.

NONWOVENSBID does not independently guarantee or certify the quality, condition, quantity, ownership, origin or suitability of any listed product unless expressly stated otherwise.

 

5. Bids and Inquiries

 

Buyers may submit bids, offers or inquiries regarding listed products.

Unless expressly stated otherwise, a bid submitted through NONWOVENSBID does not by itself create a purchase agreement with NONWOVENSBID.

The buyer and seller are responsible for agreeing on the final commercial terms, including price, quantity, payment terms, transport, delivery and other conditions.

Users must not submit false, misleading or artificial bids or otherwise attempt to manipulate the bidding process.

NONWOVENSBID reserves the right to remove bids, restrict users or terminate access where suspicious or abusive activity is detected.

 

6. Successful Transactions and Commission

 

Where NONWOVENSBID introduces a buyer and seller or otherwise facilitates a transaction, a commission may become payable upon successful completion of the transaction.

The applicable commission amount or percentage may be agreed separately with the seller or otherwise communicated before or during the listing process.

Unless otherwise agreed in writing, a transaction shall be considered successful when the buyer and seller reach an agreement resulting from an introduction, listing, inquiry, bid, contact or other activity generated through NONWOVENSBID.

This may include, but is not limited to:

  • acceptance of an offer;
  • confirmation of an order;
  • issuance of a purchase order;
  • signing of a sales agreement;
  • issuance of an invoice;
  • payment of a deposit or purchase price; or
  • delivery of the relevant goods.

The commission remains payable even if the final transaction is concluded directly between the buyer and seller outside the NONWOVENSBID website.

 

7. Obligation to Report Completed Transactions

 

Users must act transparently regarding transactions originating through NONWOVENSBID.

Where a transaction is concluded with a buyer or seller introduced through NONWOVENSBID, the relevant user must inform NONWOVENSBID without unreasonable delay.

Upon request, the parties may be required to provide reasonable information necessary to verify that a transaction has taken place and to calculate the applicable commission.

Intentionally failing to disclose a completed transaction may be considered a material breach of these Terms.

 

8. Non-Circumvention

 

Users may not use NONWOVENSBID solely to identify buyers or sellers and subsequently complete transactions outside the platform for the purpose of avoiding an applicable commission.

If NONWOVENSBID introduced the parties, provided the relevant contact, advertised the goods, forwarded an inquiry or bid, or otherwise materially contributed to establishing the business relationship, the agreed commission remains payable regardless of whether the final negotiations or transaction take place through NONWOVENSBID or directly between the parties.

Unless otherwise agreed in writing, this provision also applies to transactions between the introduced parties concluded within 12 months of the initial introduction or contact through NONWOVENSBID.

This includes repeat, extended or substantially related transactions involving the same goods or commercial opportunity where the business relationship originated through NONWOVENSBID.

 

9. Payment of Commission

 

Commission invoices must be paid within the payment period stated on the relevant invoice or commission agreement.

If a commission remains unpaid after its due date, NONWOVENSBID reserves the right to:

  • immediately suspend or remove the seller’s existing listings;
  • stop advertising or promoting the seller’s products;
  • refuse to publish new listings;
  • suspend or terminate the seller’s account or access to the platform;
  • refuse future cooperation with the seller;
  • restrict the seller from participating in future offers or bidding processes;
  • recover reasonable costs associated with collecting the unpaid amount; and
  • pursue the outstanding amount through appropriate legal means.

A seller who fails to pay an agreed commission may no longer be eligible to have products listed, advertised or promoted through NONWOVENSBID until all outstanding obligations have been settled.

Repeated non-payment, deliberate commission avoidance or attempts to circumvent NONWOVENSBID may result in permanent exclusion from the platform.

 

10. Direct and Repeat Business

 

Where a commercial relationship between a buyer and seller was originally established through NONWOVENSBID, the parties must not restructure, split, postpone or otherwise modify a transaction primarily for the purpose of avoiding an agreed commission.

If the parties enter into additional transactions arising directly from the original introduction, commission may also apply where this has been agreed with the seller or communicated as part of the relevant offer.

Specific commission arrangements agreed separately with a seller take precedence over this section.

 

11. Transaction Terms Between Buyer and Seller

 

Unless expressly agreed otherwise, NONWOVENSBID is not responsible for determining or enforcing:

  • payment terms;
  • payment methods;
  • credit arrangements;
  • transport;
  • insurance;
  • Incoterms;
  • customs clearance;
  • taxes;
  • product inspections;
  • claims;
  • returns;
  • refunds; or
  • warranties.

Buyers and sellers are encouraged to perform their own due diligence before entering into a transaction.

 

12. Product Inspection and Claims

 

Buyers are responsible for reviewing product information and determining whether the goods are suitable for their intended purpose.

Where appropriate, buyers should request samples, photographs, certificates, inspections or other documentation before completing a purchase.

Any dispute relating to the quality, condition, quantity, delivery, conformity or payment for the goods is primarily a matter between the buyer and seller.

NONWOVENSBID may, at its discretion, assist with communication between the parties but is under no obligation to resolve disputes.

 

13. No Guarantee of Sale or Purchase

 

Publishing a listing through NONWOVENSBID does not guarantee that the product will be sold.

Similarly, submitting a bid or inquiry does not guarantee that a buyer will be able to purchase the relevant goods.

NONWOVENSBID does not guarantee:

  • the number of inquiries or bids;
  • any minimum sale price;
  • successful completion of a transaction;
  • payment by a buyer;
  • delivery by a seller; or
  • future business between users.

     

14. User Conduct

 

Users must not:

  • provide false or misleading information;
  • impersonate another company or individual;
  • advertise goods they are not authorised to sell;
  • submit fraudulent or artificial bids;
  • attempt to manipulate pricing or bidding;
  • use information obtained through the platform for unlawful purposes;
  • attempt to avoid agreed commissions;
  • interfere with the website or its security;
  • collect or scrape information from the website without permission; or
  • use the platform in a manner that may damage NONWOVENSBID or other users.

We may suspend or permanently restrict access where these rules are violated.

 

15. Right to Suspend or Terminate Services

 

NONWOVENSBID reserves the right to suspend, restrict or terminate a user’s access to the platform or services where we reasonably believe that the user:

  • has violated these Terms;
  • has failed to pay an outstanding commission or invoice;
  • has attempted to circumvent the platform;
  • has provided misleading or fraudulent information;
  • has repeatedly failed to honour agreed transactions;
  • poses a commercial, legal or reputational risk; or
  • has otherwise misused the platform.

NONWOVENSBID is not obligated to continue advertising or representing any seller.

 

16. Marketing of Listings

 

By submitting product information, photographs, documents or other listing materials to NONWOVENSBID, the seller grants NONWOVENSBID permission to use these materials for the purpose of advertising and promoting the relevant products.

This may include publication on:

  • nonwovensbid.com;
  • email newsletters;
  • direct email communication;
  • social media;
  • online advertising;
  • sales presentations; and
  • other promotional channels used by NONWOVENSBID.

The seller confirms that it has the necessary rights to provide and authorise the use of such materials.

 

17. Confidential Information

 

NONWOVENSBID may receive commercially sensitive information from buyers and sellers.

We will take reasonable steps to handle such information appropriately. However, users should clearly identify information that is confidential and should not provide information through the platform that they are not authorised to disclose.

Information necessary to facilitate a transaction may be shared with the relevant potential buyer or seller.

 

18. Intellectual Property

 

The NONWOVENSBID name, website, design, content, branding and other original materials are owned by or licensed to NONWOVENSBID and may not be copied, reproduced or commercially used without permission.

Ownership of product photographs, trademarks and other materials supplied by sellers remains with their respective owners.

 

19. Website Availability

 

We aim to keep the website available and accurate but do not guarantee uninterrupted or error-free operation.

NONWOVENSBID may change, update, suspend or discontinue any part of the website or service at any time.


20. Limitation of Liability

 

To the maximum extent permitted by applicable law, NONWOVENSBID shall not be liable for losses arising from transactions between buyers and sellers, including losses resulting from:

  • non-payment;
  • non-delivery;
  • delayed delivery;
  • defective or non-conforming goods;
  • incorrect product information supplied by a seller;
  • transport damage;
  • customs or regulatory issues;
  • loss of profit or business opportunities; or
  • disputes between buyers and sellers. 

 

21. Indemnification

 

 

Users agree to be responsible for claims, losses or costs arising from their own breach of these Terms, unlawful conduct, inaccurate information, products or transactions, to the extent permitted by applicable law.

 

 

22. Privacy and Cookies

 

The processing of personal information through the website is governed by our Privacy Policy.

The use of cookies and similar technologies is described in our Cookie Policy.

 

 

23. Changes to These Terms

 

 

NONWOVENSBID may update these Terms from time to time.

24. Governing Law and Disputes
